Emami share buyback has been approved by the company’s board for up to ₹282 crore, with the maximum buyback price fixed at ₹475 per equity share.
The buyback will be carried out through the open market route on stock exchanges.
Emami Share Buyback Details
Under the approved plan, Emami can buy back up to 59,36,842 fully paid-up equity shares. This represents about 1.36% of the company’s paid-up equity share capital as of March 31, 2026.
The maximum buyback price of ₹475 represents a premium of about 28.57% over Emami’s previous closing price of ₹369.45.
However, ₹475 is the maximum price and does not mean that every share will necessarily be bought back at that price.
If the company purchases shares below the maximum buyback price, the actual number of shares bought back could be higher, subject to the overall ₹282 crore limit.
What Emami Will Spend on the Buyback
Emami has committed to using at least 75% of the maximum buyback amount, which works out to ₹211.50 crore, for purchasing its equity shares.
At the maximum buyback price of ₹475, this minimum spending requirement would cover at least 44,52,632 shares.
The company will also use ₹112.80 crore, or 40% of the maximum buyback size, during the initial half of the buyback period after the offer opens.
The buyback is open to eligible shareholders and beneficial owners.
Promoters, members of the promoter group, persons in control and their associates will be excluded from the buyback.
Buyback Process and Next Steps
Emami has constituted a Buyback Committee to handle the necessary actions related to the share repurchase.
The company said a public announcement will be released later with details about the process, timelines and other statutory requirements.
Emami shares moved higher after the board approved the buyback.
The stock touched an intraday high of ₹396.30 on Thursday, September 17, according to market reports.
The buyback size is capped at ₹282 crore, while the maximum price is ₹475 per share.
Investors will need to wait for the company’s formal public announcement for the detailed timeline and process of the offer.
