MedPlus share buyback 2026 has been approved with a maximum outlay of ₹130 crore, offering eligible shareholders an opportunity to sell their shares to the company at a price of up to ₹750 per share.
The board of MedPlus Health Services Limited approved the open-market buyback on November 6, 2026.
The company will purchase fully paid-up equity shares through the stock exchange mechanism. It has also committed to utilising at least 75% of the approved buyback amount, or ₹97.50 crore.
MedPlus Share Buyback 2026: Key Details
The board has fixed ₹750 per share as the maximum buyback price.
The total amount allocated for the programme will not exceed ₹130 crore, excluding related expenses such as brokerage, taxes and transaction fees.
At the maximum price of ₹750, the company could buy back approximately 17.33 lakh shares if it uses the entire ₹130 crore allocation. This would represent around 1.44% of its paid-up equity share capital.
The company has also specified a minimum utilisation requirement of ₹97.50 crore. At the maximum price, this amount would be sufficient to purchase approximately 13 lakh shares.
However, ₹750 is the upper price limit, not a guaranteed purchase price for every share.
Since the buyback will take place through the open market, the actual purchase price and number of shares acquired will depend on market transactions.
Who Can Participate in the MedPlus Buyback?
The open-market buyback is available to eligible shareholders and beneficial owners, excluding promoters and persons in control of the company.
This means promoters and persons in control will not be able to tender their shares under this buyback arrangement.
Other eligible shareholders can sell their shares through the stock exchange mechanism, subject to the applicable regulations and operational details.
The company had 12,01,56,156 equity shares outstanding as of November 6, 2026.
At the maximum buyback price and full utilisation of the approved amount, the proposed purchase could account for approximately 1.44% of the existing paid-up equity capital.
What Is the Buyback Premium for Investors?
The maximum buyback price of ₹750 is the amount the company is willing to pay per share, subject to the conditions of the open-market programme.
The premium over the prevailing market price will depend on the stock’s market quotation when the buyback is carried out.
Investors should distinguish between the maximum buyback price and the actual price at which shares are purchased.
Unlike a fixed-price tender offer, an open-market buyback involves purchases through stock exchanges, so the execution price can vary.
Participation also does not guarantee that an investor’s shares will be purchased. The number of shares bought by the company will depend on the available market supply, purchase price and total amount deployed.
When Will the MedPlus Buyback Start?
The November 6 board approval does not specify the exact opening or closing dates of the buyback.
MedPlus has said that the process, schedule and other operational details will be provided through a public announcement under the applicable Securities and Exchange Board of India (SEBI) regulations.
The company has constituted a Buyback Committee to oversee the process and appointed Nuvama Wealth Management Limited as the manager to the buyback.
Its Company Secretary and Compliance Officer, Shrenik Soni, has been appointed as the compliance officer for the programme.
Investors should wait for the formal public announcement before making decisions based on the buyback. The final details will clarify the purchase period and other conditions governing participation.
The proposed ₹130 crore programme represents a capital-return initiative by MedPlus.
However, the ₹750 price is only the maximum purchase limit, and shareholders should not treat it as a guaranteed selling price or assured investment return.
