SEBI FPI Rules have been eased for foreign portfolio investors that invest only in government securities. Such FPIs will no longer be required to disclose details about their investor group.

The market regulator announced the change on Monday, saying the requirement was no longer relevant for FPIs investing exclusively in government securities. The revised framework has come into effect immediately.

SEBI FPI Rules Remove Investor Group Disclosure

Under the new framework, FPIs investing solely in government securities will not have to provide details identifying their investor group.

The change is intended to reduce regulatory compliance requirements for foreign investors whose investments are limited to government securities.

The relaxation applies specifically to FPIs investing only in government securities. The information provided does not indicate a similar exemption for FPIs investing in other securities.

RBI’s Earlier Change Led to the Move

SEBI’s decision follows an earlier regulatory change by the Reserve Bank of India.

On June 5, the RBI withdrew the requirement for FPIs investing in government securities through the normal route to comply with prescribed investment limits.

Following that change, SEBI concluded that requiring such FPIs to continue disclosing their investor group identity was no longer relevant.

The regulator has therefore removed the disclosure requirement for this category of foreign portfolio investors.

What Changes for Foreign Investors?

The SEBI FPI Rules change simplifies the compliance process for eligible foreign investors by removing one disclosure requirement.

FPIs covered by the relaxation will no longer need to submit investor group details when their investments are restricted solely to government securities.

Government securities are debt instruments issued by the government. Foreign portfolio investors can participate in India’s government securities market subject to the regulatory framework applicable to them.

The latest change does not remove the broader regulatory framework governing FPIs. Instead, it provides a targeted compliance relaxation for investors operating only in the government securities segment.

New Framework Effective Immediately

SEBI has made the revised framework effective immediately, meaning eligible FPIs can benefit from the relaxed disclosure requirement without waiting for a later implementation date.

The move follows the RBI’s earlier relaxation and brings the disclosure requirement in line with the changed investment-limit framework for foreign investors in government securities.
