The Ministry of Corporate Affairs (MCA) has extended the deadline for financial statements to December 31, 2026, and the deadline for annual returns to January 31, 2027.

The decision follows requests from businesses and compliance professionals who reported technical difficulties while using the MCA-21 Version 3 online filing portal.

The extension is intended to help companies complete their statutory filing requirements without facing additional fees within the revised timelines.

MCA Extends FY26 Filing Deadlines for Companies

According to the ministry’s circular dated October 24, 2026, companies can now submit their financial statements for the financial year 2025-26 by December 31, 2026.

The earlier deadline was October 31, 2026.

The extension also applies to annual returns, for which the deadline has been moved from November 30, 2026, to January 31, 2027.

Companies that complete the specified filings within these extended periods will not have to pay additional filing fees under the relaxation.

The relief covers specified electronic forms used to submit financial statements and annual returns to the Registrar of Companies.

Businesses should check the form applicable to their company and ensure that the required documents are submitted within the revised deadlines.

Which Company Filing Forms Are Covered?

The extended deadline for financial statements covers Form AOC-4 and its applicable variants, including AOC-4 (CFS), AOC-4 (XBRL), AOC-4 NBFC (Ind AS) and AOC-4 CFS NBFC (Ind AS).

These forms are used by companies to submit their annual financial statements, including consolidated financial information and reporting in the applicable formats.

The precise form depends on the company’s reporting requirements and regulatory classification.

For annual returns, the extended deadline applies to Forms MGT-7 and MGT-7A. MGT-7 is used for annual returns by companies generally, while MGT-7A is designed for one-person companies and small companies covered by the applicable rules.

Annual returns contain important company information, including details relating to shareholding and management.

Filing these documents within the prescribed period helps maintain statutory compliance and ensures that the relevant corporate records are updated.

MCA Portal Problems Prompt Deadline Extension

The extension follows representations from stakeholders who reported difficulties using the MCA-21 Version 3 portal.

Company secretaries and other professionals raised concerns about technical glitches that affected the preparation and submission of statutory forms.

Reported problems included slow response times, portal downtime, login difficulties, session timeouts, errors in pre-filled information and challenges involving digital signature certificates.

Such issues can make it difficult for businesses to complete filings even when they are attempting to comply with the applicable requirements.

The Institute of Company Secretaries of India (ICSI) had requested additional time, citing the technical challenges and the demands associated with revised filing forms.

The institute welcomed the extension, stating that the additional time would help companies and compliance professionals manage the transition to the updated online system.

The ministry’s decision provides more time for companies to resolve filing difficulties and complete the required documentation.

However, businesses should not assume that the extension removes all their compliance obligations under the Companies Act.

AGM Deadlines Remain Unchanged

One important condition is that the extension applies to filing financial statements and annual returns, not to the statutory deadlines for holding Annual General Meetings (AGMs).

The MCA has clarified that the circular should not be interpreted as extending the time allowed under the Companies Act for conducting these meetings.

Companies that have failed to hold their AGMs within the applicable statutory timelines may still face consequences under the relevant legal provisions.

Under the usual filing framework, financial statements are generally submitted within 30 days of an AGM, while annual returns are generally due within 60 days.

The new circular provides specific relief for the FY26 filings covered by the extension.

Companies should therefore treat the revised dates as additional time for submitting the specified forms, rather than as a general extension of every annual compliance deadline.

 What Companies Should Do Next

Businesses should review their pending FY26 filings and identify which forms remain outstanding.

Financial statements covered by the circular should be submitted by December 31, 2026, while annual returns covered by the relaxation should be filed by January 31, 2027.

Companies should also verify their financial statements, shareholder information, management details and digital signatures before submitting forms through the MCA-21 portal.

Early preparation can help reduce the risk of last-minute technical problems.

The extension offers practical relief to businesses dealing with online filing difficulties, but it does not eliminate the need to maintain accurate records or meet other statutory obligations.

Companies should consult their company secretary or compliance adviser if they are uncertain about which forms or deadlines apply to them.
